These Terms & Conditions ("Terms") govern access to and use of the Reskript® platform and the purchase and use of services provided through the platform.

Please read these Terms carefully before using Reskript or purchasing any service through the platform.

By creating an account, accessing the platform, submitting information for processing, or purchasing a service through Reskript, you agree to be bound by these Terms.

If you do not agree with these Terms, you should not use the platform or purchase services through Reskript.

1. Reskript® and the Service Provider

Reskript® is a registered European Union trade mark owned by Medical Pharma Services, s.r.o.

Reskript is a digital platform operated by:

Medical Pharma Services, s.r.o.
Evropská 846/176a, Prague 160 00
Czech Republic
Company ID (IČO): 27084949
VAT ID: CZ27084949
Email: support@reskript.com

Medical Pharma Services, s.r.o. is referred to in these Terms as "Reskript", "we", "us" or "our".

Reskript is a professional digital service designed primarily for medical writers and other professionals involved in the preparation of clinical-trial documentation.

2. Purpose and Nature of the Service

Reskript provides digital document-development and drafting services intended to help professional medical writers reduce the time and effort required to prepare clinical-trial protocols and other clinical-trial documents.

Depending on the service purchased, Reskript may process information provided by the customer and generate, structure, transform or assist in the development of document content.

Reskript is designed to support the professional work of medical writers.

Reskript does not replace the professional judgment, review, verification, editing or responsibility of the medical writer or other qualified professional using the service.

Unless expressly stated otherwise for a particular service, the output provided through Reskript constitutes drafting and productivity support and should be professionally reviewed, verified and finalized before being used for a clinical trial, regulatory submission, ethics submission, sponsor approval or any other professional or regulatory purpose.

3. Eligibility and Use of the Platform

You may use Reskript only if you are legally capable of entering into a binding agreement.

If you use Reskript on behalf of a company, organization or other legal entity, you represent that you have authority to bind that entity to these Terms.

You are responsible for ensuring that your use of Reskript complies with all applicable laws, regulations, professional requirements and contractual obligations applicable to you.

You must not use Reskript for unlawful purposes or in a manner that could damage, disable, overburden or impair the platform.

4. Account Registration and Security

Certain Reskript services may require you to create an account.

You are responsible for:

- providing accurate and current registration information;
- maintaining the confidentiality of your account credentials;
- preventing unauthorized access to your account; and
- all activity carried out through your account, except where unauthorized use results from a failure of Reskript's systems.

You must notify us promptly if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate an account where reasonably necessary to protect the security or integrity of the platform or to prevent unlawful or abusive use.

5. Services and Orders

The services available through Reskript are described on the platform at the time of purchase.

The description of each service, including its scope, document type, applicable limitations and price, forms part of the agreement between you and Reskript.

Prices are displayed before purchase.

Unless otherwise stated, Reskript services are provided on a pay-per-document or pay-per-service basis and do not require a subscription.

Promotional or launch pricing may be offered from time to time. The applicable price will be the price displayed at the time the order is placed.

6. Payment

Payment must be completed using the payment methods made available through the platform.

An order is considered accepted once payment has been successfully processed and Reskript has confirmed the order.

All prices are stated in the currency displayed on the platform and may be subject to applicable taxes, VAT, sales taxes or other charges as required by applicable law.

Where applicable, the customer is responsible for providing accurate billing and tax information.

7. Provision of the Service

Reskript will make reasonable efforts to provide the purchased service within the timeframe stated on the platform or communicated at the time of purchase.

The time required to provide a document may depend on:

- the type and complexity of the document;
- the completeness and quality of information supplied by the customer;
- technical requirements;
- system availability; and
- other circumstances reasonably necessary for completion of the service.

If the customer does not provide information reasonably necessary to perform the service, delivery may be delayed.

8. Customer-Provided Information and Materials

You retain ownership of information, documents, text, data and other materials that you upload, enter or otherwise provide to Reskript ("Customer Materials").

You represent and warrant that you have the necessary rights and permissions to provide the Customer Materials to Reskript and to permit their processing for the purpose of providing the service.

You must not provide information to Reskript where doing so would violate:

- confidentiality obligations;
- intellectual-property rights;
- data-protection laws;
- contractual restrictions; or
- any other applicable legal obligation.

Where Customer Materials contain personal data, confidential information or other protected information, you are responsible for ensuring that you have an appropriate legal basis and authorization for providing that information to Reskript.

Additional provisions concerning personal data are set out in our Privacy Policy and, where applicable, a separate Data Retention Policy.

9. Clinical-Trial and Patient Information

Reskript is intended for professional use in clinical-trial documentation.

You should not submit identifiable patient information or other personal data to Reskript unless the submission and processing are permitted under applicable law and appropriate safeguards and agreements are in place.

Where possible, customers should use anonymized, pseudonymized or otherwise appropriately protected information.

The customer remains responsible for determining whether information submitted to Reskript may lawfully be processed through the platform.

Reskript does not provide medical diagnosis, medical treatment or medical advice.

10. Generated Content and Professional Review

Reskript may generate or assist in generating text, document structures, summaries, tables or other content based on Customer Materials and the functionality of the platform ("Generated Content").

Generated Content may contain errors, omissions, inconsistencies or information that requires professional verification.

You are solely responsible for reviewing Generated Content before using it professionally.

In particular, you are responsible for verifying, as appropriate:

- scientific accuracy;
- clinical accuracy;
- consistency with the study design;
- consistency with source materials;
- statistical information;
- dosing and treatment information;
- safety information;
- inclusion and exclusion criteria;
- regulatory requirements;
- ethical requirements;
- references and citations;
- sponsor requirements; and
- applicable requirements of regulatory authorities and ethics committees.

Reskript does not guarantee that Generated Content is suitable for direct submission to any regulatory authority, ethics committee, institutional review board, sponsor or other third party without professional review and, where appropriate, modification.

11. No Regulatory or Scientific Guarantee

Reskript does not guarantee that a document generated or developed through the platform:

- will be accepted by a regulatory authority;
- will be accepted by an ethics committee or institutional review board;
- will satisfy the requirements of a particular jurisdiction;
- will satisfy the requirements of a particular sponsor;
- will be suitable for a particular clinical trial without modification; or
- will be free from errors or omissions.

The customer is responsible for determining whether the final document meets the requirements applicable to the customer's particular project.

12. Customer's Professional Responsibility

Reskript is a productivity and drafting service.

The use of Reskript does not transfer professional responsibility for the final document from the customer to Reskript.

Where the customer is a medical writer or other regulated or qualified professional, the customer remains responsible for applying their professional knowledge and judgment to the final work product.

The customer should not rely solely on Generated Content without appropriate professional review.

13. Intellectual Property Rights in the Platform

All rights, title and interest in and to the Reskript platform, including its software, technology, interface, design, functionality, trademarks, logos, documentation and underlying systems, are owned by or licensed to Medical Pharma Services, s.r.o.

This includes the Reskript® trademark and associated brand assets.

Nothing in these Terms transfers ownership of the Reskript platform or its underlying technology to the customer.

Except as expressly permitted by these Terms or applicable law, you may not:

- copy, reproduce or distribute the platform;
- reverse engineer or attempt to derive source code;
- modify or create derivative works of the platform;
- resell or sublicense access to the platform;
- circumvent technical restrictions;
- use the platform to develop a substantially competing service; or
- remove proprietary notices or trademarks.

14. Rights in Customer Documents and Generated Documents

Subject to payment of the applicable fees and compliance with these Terms, Reskript grants the customer the right to use the Generated Content and resulting document for the customer's own professional purposes and for the clinical-trial project for which it was created.

The customer retains ownership of Customer Materials.

To the extent that Reskript has any rights in Generated Content that are capable of being transferred or licensed, Reskript grants the customer a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, edit, distribute and incorporate the Generated Content into the customer's final professional documents.

This license does not transfer ownership of the Reskript platform, software, methodology, templates, proprietary systems or underlying technology.

Where third-party materials are incorporated into or referenced by Generated Content, the customer is responsible for ensuring that any required third-party rights, permissions or licenses are obtained.

15. Confidentiality

Reskript will treat Customer Materials and non-public information submitted through the platform as confidential and will use such information primarily for providing the purchased services and operating and supporting the platform.

We will not intentionally disclose confidential Customer Materials to third parties except:

- where necessary to provide the service;
- to service providers acting on our behalf;
- where required by law or legal process;
- where necessary to protect our rights, security or property; or
- with the customer's authorization.

Specific obligations relating to personal data and data security are governed by the Reskript Privacy Policy and, where applicable, a Data Retention Policy.

16. Data Protection

Medical Pharma Services, s.r.o. processes personal data in accordance with applicable data-protection legislation and the Reskript Privacy Policy.

Where applicable, the parties may enter into a separate Data Retention Policy governing the processing of personal data on behalf of a customer.

The Reskript Privacy Policy forms part of the contractual framework governing use of Reskript.

17. Service Availability and Technical Issues

We will use reasonable efforts to keep Reskript available and functioning properly.

However, uninterrupted availability cannot be guaranteed.

The platform may occasionally be unavailable due to:

- maintenance;
- upgrades;
- technical failures;
- telecommunications or internet failures;
- cybersecurity incidents;
- third-party service interruptions; or
- circumstances beyond our reasonable control.

Where reasonably possible, we will provide notice of planned material maintenance.

18. Prohibited Uses

You must not use Reskript:

- for unlawful purposes;
- to infringe third-party intellectual-property rights;
- to upload malicious software or code;
- to attempt unauthorized access to the platform;
- to interfere with platform security;
- to circumvent usage restrictions;
- to use the service for fraudulent purposes;
- to knowingly submit information that you are not authorized to process;
- to reverse engineer the service; or
- to create or facilitate a competing service using unauthorized access to Reskript.

We may suspend or terminate access where reasonably necessary to address serious or repeated violations.

19. Refunds and Cancellation

Refunds and cancellation requests are governed by the Reskript Refund & Cancellation Policy, which forms part of these Terms.

Nothing in the Reskript Refund & Cancellation Policy or these Terms limits any mandatory statutory rights applicable to consumers.

Where applicable law provides statutory rights relating to digital services, conformity, withdrawal, termination, price reduction or refunds, those rights remain unaffected.

For digital services supplied immediately after purchase, Reskript may request the customer's express consent to begin providing the service before the expiry of any applicable withdrawal period and the customer's acknowledgment of the applicable legal consequences.

20. Consumer Rights

If you purchase Reskript as a consumer, mandatory consumer-protection rights applicable in your jurisdiction remain unaffected by these Terms.

Nothing in these Terms is intended to exclude or restrict rights that cannot legally be excluded or restricted.

If you purchase Reskript exclusively for purposes relating to your business, profession or trade, you may be treated as a business customer rather than a consumer to the extent permitted by applicable law.

21. Business Customers

Where Reskript is purchased by or on behalf of a company, organization or professional acting in the course of business, these Terms govern the commercial relationship between the parties unless a separate written agreement has been entered into.

A written agreement signed by Medical Pharma Services, s.r.o. and the customer may override these Terms to the extent expressly stated in that agreement.

22. Limitation of Liability

To the maximum extent permitted by applicable law, Reskript will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business opportunities, goodwill or anticipated savings arising from the use of the platform.

Reskript's total liability arising out of or in connection with a particular purchase or service will, to the maximum extent permitted by applicable law, be limited to the amount actually paid by the customer for the specific service giving rise to the claim.

The limitations in this section do not apply to liability that cannot legally be excluded or limited under applicable law.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that applicable law does not permit to be excluded or limited.

For consumers, mandatory statutory rights and remedies remain unaffected.

23. No Warranty Beyond Applicable Law

Except where expressly stated in these Terms or required by applicable law, Reskript does not make warranties regarding:

- uninterrupted availability;
- error-free operation;
- suitability of Generated Content for a particular purpose;
- regulatory acceptance;
- clinical-trial approval;
- commercial success; or
- the achievement of a particular result.

Nothing in this section limits mandatory statutory rights applicable to consumers or other non-excludable rights.

24. Indemnification by Business Customers

To the extent permitted by applicable law, a business customer agrees to indemnify and hold harmless Medical Pharma Services, s.r.o., its officers, employees and service providers from third-party claims arising from:

- unlawful Customer Materials;
- infringement of third-party rights caused by Customer Materials;
- the customer's unauthorized use of Reskript; or
- the customer's violation of these Terms.

This provision does not apply to the extent that the claim results from Reskript's own breach of these Terms, negligence or willful misconduct.

25. Suspension or Termination

You may stop using Reskript at any time.

We may suspend or terminate your access where reasonably necessary if:

- you materially breach these Terms;
- you engage in unlawful or fraudulent activity;
- you attempt to compromise platform security;
- your use creates a material risk to Reskript or other users; or
- suspension or termination is required by law.

Where reasonably possible, we will provide notice and an opportunity to remedy a breach before termination, except where immediate action is reasonably necessary.

Termination does not affect rights or obligations that accrued before termination.

26. Effect of Termination

Upon termination or closure of an account, you may lose access to the platform and account functionality.

Where applicable, we will provide reasonable access to documents that you have purchased or generated through the service for a reasonable period, subject to technical and legal requirements.

You remain responsible for retaining copies of documents that you require for your own records.

27. Changes to the Platform

We may modify, improve or update Reskript from time to time.

Changes may include improvements to functionality, security, performance, document structures and user experience.

We will not intentionally remove a material feature of a paid service in a manner that materially deprives the customer of the service purchased without providing an appropriate remedy where required by applicable law.

28. Changes to These Terms

We may update these Terms from time to time.

The updated Terms will be published on the Reskript website with a new effective date.

For existing customers, changes that materially affect their contractual rights will apply prospectively unless otherwise required or permitted by law.

The Terms applicable to a purchase will generally be those in effect at the time of the purchase, unless a subsequent change is required by law.

29. Third-Party Services

Reskript may rely on third-party infrastructure, hosting, payment processing, authentication, analytics, communication or other services.

We may replace or modify third-party service providers where reasonably necessary to operate and improve Reskript.

Third-party services may be subject to their own terms and policies.

30. Force Majeure

Reskript will not be responsible for delay or failure to perform caused by circumstances beyond our reasonable control, including natural disasters, war, civil unrest, government action, widespread internet or telecommunications failures, major cybersecurity incidents, failures of critical infrastructure or other events that could not reasonably have been prevented or avoided.

This provision does not affect mandatory consumer rights.

31. Governing Law

These Terms and the relationship between you and Medical Pharma Services, s.r.o. are governed by the laws of the Czech Republic, except to the extent that mandatory provisions of the law of the country in which a consumer resides apply and cannot be excluded by agreement.

Nothing in this section deprives a consumer of mandatory rights available under the law applicable to the consumer.

32. Dispute Resolution

We encourage customers to contact us first so that we can attempt to resolve any dispute amicably.

For business customers, disputes that cannot be resolved amicably shall be submitted to the competent courts of the Czech Republic, unless otherwise agreed in writing.

For consumers, mandatory jurisdiction and dispute-resolution rights applicable under the consumer's place of residence remain unaffected.

Where applicable, consumers may also have access to alternative dispute-resolution

34. Entire Agreement

These Terms, together with the applicable order details, the Reskript Refund & Cancellation Policy, Privacy Policy and any applicable Data Retention Agreement, constitute the agreement between you and Medical Pharma Services, s.r.o. concerning your use of Reskript, unless a separate written agreement applies.

If a provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by applicable law.
